Terms of Service

1. What Agent Bak Is

Agent Bak provides tools for backing up, storing, restoring, and managing AI agent workspaces and related materials. Depending on the plan you choose, the Services may include:

• open source CLI tools;
• local backup and restore functionality;
• optional managed cloud storage for encrypted backup files;
• account management, authentication, and billing features;
• dashboard and API access; and
• documentation, support, and related features.

Some parts of Agent Bak are open source and may be made available under separate license terms. Those open source licenses govern your use of the applicable code to the extent required by law or the license terms themselves.

2. Eligibility and Accounts

You must be at least 18 years old, or the age of majority where you live, to use the Services.

You agree to provide accurate account information and to keep it up to date. You are responsible for all activity that occurs under your account and for safeguarding your login credentials, passphrases, recovery codes, API keys, and connected sign-in methods.

You must notify us promptly if you believe your account has been compromised.

3. Zero-Knowledge Design and Your Responsibility

Agent Bak is designed so that backup contents are encrypted on the client side before transmission to our managed cloud service. As a result, we are generally not able to read the plaintext contents of your encrypted backup files.

That does not mean we collect no information at all. We may still process account information, authentication data, billing information, service metadata, operational logs, device and browser information, support communications, and other information described in our Privacy Policy.

You are solely responsible for:

• your passphrase, recovery codes, and local key management;
• verifying that your backups are valid, current, and restorable;
• maintaining any separate backups you consider necessary;
• ensuring that you have the rights to store and process the content you submit; and
• determining whether Agent Bak is appropriate for your use case, security needs, and legal obligations.

If you lose your passphrase and recovery materials, or if your local environment is misconfigured, your data may become permanently unrecoverable. We do not guarantee that encrypted backup contents can be recovered in every circumstance.

4. Your Content

4.1 Ownership

As between you and Baud Bot, you retain ownership of your backups, files, prompts, configuration, metadata, and other content you submit to or process through the Services (collectively, “Your Content”), subject to the rights you grant us below.

4.2 License to Us

You grant us a limited, non-exclusive, worldwide license to host, store, transmit, process, display, copy, and otherwise use Your Content only as reasonably necessary to provide, secure, maintain, and improve the Services, to comply with law, and to enforce these Terms.

4.3 Responsibility for Your Content

You represent and warrant that:

• you own or control the necessary rights to Your Content;
• Your Content and your use of the Services do not violate any law, regulation, contract, or third-party right;
• Your Content does not include material you are prohibited from storing with us; and
• you understand that we may be unable to review encrypted backup contents.

Because of the product design, you agree that we are not obligated to monitor or screen backup contents.

5. Acceptable Use

You may not use the Services to:

• violate any applicable law or regulation;
• infringe or misappropriate any intellectual property or privacy rights;
• store, transmit, or facilitate unlawful material, including material that is illegal to possess or distribute;
• interfere with or disrupt the integrity, security, or performance of the Services;
• probe, scan, reverse engineer, or test vulnerabilities of any non-public part of the Services except as expressly authorized by us in writing;
• bypass rate limits, access controls, or usage restrictions;
• use the Services as a general-purpose bulk storage or archival system unrelated to legitimate Agent Bak use cases;
• introduce malware, ransomware, or other harmful code;
• impersonate any person or entity or misrepresent your affiliation; or
• use the Services in a way that could create liability or harm for us, our users, or third parties.

We may investigate suspected misuse and may suspend or terminate access if we reasonably believe you violated these Terms or created risk for the Services or others.

6. Plans, Trials, Billing, and Payments

6.1 Paid Plans

Some features require a paid subscription. Pricing, storage limits, backup history, usage limits, and included features are described on our website or in your order flow and may change from time to time.

6.2 Trials

We may offer free trials or promotional access. Trial terms may vary and may be described in the applicable offer.

6.3 Billing

If you subscribe to a paid plan, you authorize us and our payment processor to charge the payment method associated with your account for recurring subscription fees, taxes, and any other amounts you agree to pay.

Subscriptions automatically renew unless canceled before the next renewal date.

6.4 Price Changes

We may change pricing prospectively. If we do, we will provide advance notice as required by applicable law or as commercially reasonable under the circumstances.

6.5 Late Payments and Suspension

If your payment cannot be completed, we may suspend or downgrade your access to paid features until payment is resolved.

6.6 Refunds

Except where required by law, payments are non-refundable. That said, if we clearly caused a material service failure, contact us and we will review the situation in good faith.

7. Beta Features

We may label some features as alpha, beta, preview, early access, or similar. Those features may be incomplete, unstable, or changed or removed at any time, and may be provided with reduced or no support.

8. Service Availability and Changes

We may modify, suspend, or discontinue all or part of the Services at any time, including to make improvements, respond to security concerns, comply with law, or reflect product changes.

We do not guarantee that the Services will be uninterrupted, error-free, or available at all times. You understand that internet and cloud services can fail, storage providers can have outages, and restore workflows depend in part on your own environment and inputs.

9. Open Source and Third-Party Services

Parts of Agent Bak may incorporate or interoperate with open source software and third-party services, including identity providers, infrastructure providers, analytics, or payment processors. Your use of those third-party offerings may be subject to their terms and privacy policies.

We are not responsible for third-party products or services except to the extent required by law.

10. Intellectual Property

The Services, including our website, branding, software we make available under proprietary terms, designs, text, graphics, logos, and other materials, are owned by Baud Bot or our licensors and are protected by intellectual property laws.

Except as expressly permitted by these Terms or applicable open source licenses, you may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Services.

If you send us feedback, suggestions, or ideas, you grant us a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation to you.

11. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information. By using the Services, you acknowledge that we may process personal information as described there.

12. Confidentiality of Backup Contents

We design the managed cloud offering so that encrypted backup contents are transmitted and stored in encrypted form. However, you acknowledge and agree that:

• no security measure is perfect;
• metadata and account-level information may still be visible to us or our service providers;
• we may disclose information we are legally required to disclose; and
• you remain responsible for deciding whether to store especially sensitive data in the Services.

13. Suspension and Termination

You may stop using the Services at any time.

We may suspend or terminate your access immediately or prospectively if:

• you violate these Terms;
• you fail to pay amounts due;
• we reasonably believe your use presents a security risk or legal risk;
• we are required to do so by law; or
• continuing to provide the Services to you is no longer commercially feasible.

Upon termination, your right to use the Services will end. We may delete or de-identify account information and stored materials in accordance with our Privacy Policy and retention practices. You are responsible for exporting or retrieving any data you wish to keep before closing your account or before a suspension becomes permanent.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” BAUD BOT LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

We do not warrant that:

• backups will always succeed;
• restores will always be complete or compatible with your environment;
• encrypted files will never become corrupted, lost, or inaccessible;
• the Services will satisfy regulatory requirements specific to your business; or
• the Services alone are sufficient for disaster recovery, legal hold, or business continuity purposes.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

1. BAUD BOT LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
2. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) USD $100.

Nothing in these Terms limits liability that cannot be limited under applicable law.

16. Indemnification

You will defend, indemnify, and hold harmless Baud Bot LLC and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• Your Content;
• your misuse of the Services;
• your violation of these Terms; or
• your violation of any law or third-party right.

17. Export and Sanctions Compliance

You may not use, export, re-export, or transfer the Services except as authorized by United States law and other applicable laws. You represent that you are not located in, ordinarily resident in, or controlled by a person or entity located in a country or region subject to comprehensive U.S. embargoes, and that you are not on any applicable restricted-party list.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Travis County, Texas, and each party consents to the personal jurisdiction and venue of those courts.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms, update the “Last updated” date, and provide additional notice if required by law or if the changes are materially adverse.

By continuing to use the Services after the updated Terms take effect, you agree to the revised Terms.

20. Miscellaneous

These Terms, together with any incorporated policies or supplemental terms, are the entire agreement between you and Baud Bot regarding the Services.

If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force.

Our failure to enforce a provision is not a waiver.

You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, financing, corporate reorganization, or sale of assets.
